The Client and MEDO Global B.V. agree as follows:
1. Capacity of MEDO
MEDO acts as a freight forwarder within the meaning of Article 8:60 of the Dutch Civil Code and as an independent logistics coordinator: for the Client’s account it arranges contracts with carriers and other providers. MEDO does not itself undertake carriage and is not the actual or contractual carrier, customs broker, direct or indirect customs representative, tax representative, warehouse keeper or insurer. MEDO shall not perform a regulated activity without the required licence or authorisation and shall not claim a certification or AEO status that it does not hold.
2. Authorised forwarding and coordination services
For each separately accepted service order, MEDO may request and compare non-binding quotations; identify and recommend carriers, freight forwarders, customs agents, warehouses, terminals and other providers; and, only after the Client’s prior written approval, arrange a booking and coordinate collection, loading, transit, storage, customs appointments and delivery. MEDO may transmit approved operational instructions, documents and status information and follow up performance.
3. Formation and evidence of each service order
This framework agreement does not grant MEDO unlimited booking authority. An individual service order is formed only after the Client has approved in writing a specific quotation, route, provider and known charges and MEDO has confirmed the order in writing. Email, an agreed electronic platform or another durable written medium is sufficient. The correspondence, approved quotation and shipment records together constitute evidence. Provider or customs-agent forms are signed directly by the Client where required.
4. Contracts with third-party providers
Carriage, customs representation, storage, insurance and other operational or regulated services are performed by independent third parties. MEDO arranges those contracts as freight forwarder for the Client’s account and identifies the actual provider. Where practicable, the contract is concluded directly between the Client and that provider. The provider’s quotation, transport document, terms and liability regime apply to its performance. MEDO does not guarantee capacity, route, transit or arrival time, customs outcome or third-party performance unless a specific guarantee is expressly accepted in writing.
5. Customs representation
MEDO may collect and transmit records to a qualified customs agent and coordinate communication, but shall not lodge or sign customs declarations or act as direct or indirect customs representative. Where representation is required, the Client shall sign the customs agent’s own direct-representation agreement or other legally required authorisation. MEDO’s involvement does not replace that authorisation or the provider’s admission requirements.
6. Client approval and limits of authority
MEDO may not bind the Client to a provider, accept a final quotation, amend commercial terms, settle a claim, admit liability or dispose of goods without the Client’s prior written approval, except for routine operational communications within an already approved order. No authority is granted to sell, pledge, transfer ownership of or create security over the Client’s goods.
7. Client information and documents
The Client shall provide complete, accurate, authentic and timely invoices, packing lists, goods descriptions, values, origin evidence, proposed classification information, EORI/VAT details, licences, product-compliance records, sanctions/export-control information and other requested documents. The Client remains responsible for the goods and supplied information and shall review draft instructions or declarations prepared by third parties when requested.
8. Quotations, fees and third-party costs
MEDO’s coordination or intermediary fee and any expense allowance shall be stated in the service order or quotation. Third-party freight, customs, storage, terminal, inspection, duty, tax, demurrage, detention and similar charges are for the Client’s account. MEDO may collect advance funds solely for payment of approved third-party costs and shall account for them. Unless expressly agreed, MEDO does not receive or hold customs refunds for the Client.
9. No professional advice or insurance
MEDO does not provide legal, tax, customs-classification, product-compliance or insurance advice. Any indication is operational information only and must be verified with the relevant qualified adviser or provider. Cargo insurance is arranged only after a separate written request and written confirmation by an authorised insurance intermediary or insurer.
10. Compliance and refusal
MEDO may screen the Client, goods, routes and counterparties and may refuse or suspend an order where information, approval, payment or security is missing, or where sanctions, export controls, product restrictions, illegality, fraud, safety risks or reputational risks are reasonably suspected. MEDO shall not be required to circumvent a provider’s compliance decision.
11. Liability and notice
MEDO shall exercise the care of a reasonably acting freight forwarder when selecting and coordinating providers. MEDO is liable only for proven direct loss caused by its own attributable failure and not for acts, omissions, insolvency or delay of independent providers or authorities. Indirect or consequential loss, loss of profit and production interruption are excluded. Liability per event is limited to 10,000 SDR and, for damage to, depreciation or loss of goods, also to 4 SDR per kilogram of affected gross weight, whichever limit is lower. The limits do not apply to intent or deliberate recklessness of MEDO’s management or where mandatory law prohibits limitation. The Client shall give written notice without undue delay and allow MEDO to preserve claims against the relevant provider.
12. Confidentiality and data
Each party shall protect confidential commercial information. The Client authorises MEDO to share the minimum necessary data and documents with prospective and selected providers, customs authorities and advisers for quotations, performance, compliance and claims. Personal data shall be processed under applicable privacy law.
13. Duration and termination
This framework agreement starts on signature and continues for an indefinite period. Either party may terminate it in writing with one month’s notice. MEDO may suspend or terminate immediately for non-payment, illegality, compliance risk or material breach. Accepted orders, payment duties, confidentiality, records and claims provisions continue as necessary after termination.
14. Law, jurisdiction and language
Dutch law applies. The competent court of Rotterdam has exclusive jurisdiction at first instance, subject to mandatory law. The Dutch version is legally controlling; the English and Arabic versions are convenience translations. No FENEX conditions apply to MEDO merely by this agreement unless they are separately and validly incorporated for a specific service for which MEDO lawfully acts in the relevant capacity.
